Legal and Operations

Safeguard Scientifics provides operational and management support to each of our partner companies through our seasoned professionals who have years of experience in matters related to business strategy, technology development, sales and marketing, operations, business development, corporate finance, regulatory compliance and various legal matters. While our team does not provide legal representation to our partner companies, we assist our partner companies as they confront issues which have legal and/or operational components. The following activities are typical of our team’s expertise and support:

Borrowing Assistance, including agreements, letters of credit, UCC filings and promissory notes
Business Planning, including domestic and international joint ventures and strategic alliances
Commercial Agreements (domestic and international) including supplier, vendor, clinical trial and consulting agreements

Financing Transactions, including commercial, private equity and non-traditional sources
Initial Public Offering Support, including pre-offering preparations, post-offering compliance, reporting, compliance and follow-on registrations
Intellectual Property Assistance such as counseling on patents and trademarks, copyrights and related general strategies
Mergers and Acquisitions including spin-outs, management buyouts and recapitalizations
Regulatory Filings and Compliance
Real Estate Services such as lease and sublease agreements and strategies, incentives, as well as title insurance, etc.
